Verital 服務條款

本條款是你與Verital（個人經營，以下稱「我們」）之間的契約。Verital 是我們提供的學術研究桌面軟體與相關雲端服務（以下稱「本服務」）。你購買本服務時，付款交易由 Paddle 處理，見第 4 條。

1. 接受條款

下載、安裝、註冊或使用本服務，即表示你同意本條款、[隱私權政策](privacy.zh.md)與[退款政策](refund.zh.md)。不同意請不要使用。你必須年滿13歲，或已達你所在地可自行同意的年齡。

2. 帳號

• 請提供正確的 Email，並保管好密碼或你使用的第三方登入帳號；帳號下的活動由你負責。
• 同一個帳號最多同時使用 5 台裝置，超過時請先移除舊裝置。
• 不得轉售、出借或與他人共用帳號。

3. 方案、試用與點數

• 本機優先。 Verital 在你的電腦上運作，你的論文、筆記與稿件預設存在你自己的電腦。
• 需要有效方案。 編輯、使用 AI、同步與分享連結，需要有效的方案（含試用）。沒有有效方案時（試用或訂閱到期，或從未有過方案），App 進入唯讀模式：你仍可開啟、搜尋、匯出與刪除自己的資料，資料不會因為到期而被刪除。
• 授權租約。 App 會定期向我們換取一張簽章的授權租約，離線時沿用：試用最長約 48 小時，付費約 7 天。
• 免費試用。 新客人可試用一次，每人一次：7 天，結帳時需綁定付款方式；第 8 天自動以你選的方案扣款，試用結束前取消則不扣款。
• 方案與點數。 Pro 每月 150,000 點，Pro+ 每月 320,000 點；點數每月刷新，沒用完作廢，年繳方案也是每月發一次。另可購買點數包，購買後 365 天內有效。使用官方 AI 時，先扣當月方案點數，再扣點數包。點數只能用於官方 AI 與官方查詢服務，不可兌換現金、不可轉讓；各項操作的點數換算以 App 內說明為準。價格與方案內容以官網方案頁與結帳頁為準。
• 自備模型金鑰（BYOK）。 你可以使用自己的模型金鑰，請求直接從你的電腦送到你選的供應商，費用與條款由你和該供應商之間處理；使用 AI 功能仍需有效方案。

4. 付款：Paddle 是 Merchant of Record

Paddle 是我們所有訂單的轉售商與 Merchant of Record（賣方紀錄商）。你是向 Paddle 購買，由 Paddle 收款、開立收據、收取並申報銷售稅（如 VAT、GST），並處理付款、退款與付款爭議。依你所在地，簽約的 Paddle 主體為 Paddle.com Market Limited、Paddle.com Inc. 或 Paddle.com (Canada) Ltd.。你的卡號只在 Paddle 的付款框輸入，我們看不到。你購買時同時適用 Paddle 買方條款。

• 自動續訂。 訂閱會依相同週期自動續訂。你可以隨時在 App 的「管理訂閱」或收據信中的連結取消；取消於當期結束時生效，已付費的期間仍可使用。
• 扣款失敗。 Paddle 會重試；期間我們給你 7 天寬限，照常使用。仍失敗時訂閱會被取消，你仍須支付積欠的金額。
• 調價。 價格調整會在生效前至少30天通知你；你不同意可在生效前取消。
• 退款。 見[退款政策](refund.zh.md)。

5. 你的內容

• 你用本服務建立或匯入的一切（論文、筆記、稿件、圖、簡報、錄音等），權利都屬於你；我們不主張你的內容或你取得的 AI 輸出的權利。
• 你授權我們在提供服務所需的範圍內處理你的內容，例如把你的請求轉給模型供應商、代為保管加密的批改檔案與同步密文。細節見隱私權政策。
• 你保證你有權使用你匯入或輸入的內容（例如論文 PDF 的著作權），並對你輸入的提示與取得的輸出負責。

6. AI 輸出與學術誠信

• AI 輸出可能錯誤、不完整，或與他人的輸出相似。請自行查核引用、數據與結論，不要把輸出當成法律、醫療或財務等專業建議。
• AI 偵測（AI 率）、查核與改寫工具只是參考。它不是 Turnitin 等第三方的分數，兩者沒有換算關係，也不保證你的稿件能通過任何機構的檢測。
• 你要遵守所屬學校、期刊與研究機構的學術倫理規範，對你提交的作品負完全責任。

7. 禁止的行為

不得：

• 違法、詐欺、散布垃圾訊息，或侵害他人的智慧財產與其他權利；
• 使用本服務產生或散布：未經同意的性內容或深偽、仇恨或騷擾內容、惡意程式、公開他人個資（人肉搜索）、欺騙他人的內容；
• 規避模型的安全限制（越獄）；
• 破解、反向工程，或繞過授權、點數與裝置數量的限制；
• 探測、掃描、干擾我們的系統，或大量自動化存取而影響本服務或 OpenAlex、arXiv 等第三方資料庫。

加密的批改連結與同步內容我們讀不到，無法預先審查；接獲檢舉或發現違規時，我們可以停用該連結、移除我們能存取的內容或暫停帳號。

8. 智慧財產與圖庫

• 本服務與軟體的智慧財產歸我們或授權人所有（開源元件依其各自授權）。我們授予你個人的、不可轉讓的使用授權。
• Verital 圖庫的圖片依[圖庫圖片政策](../figure-gallery-policy.md)處理：每張圖旁標示出處與授權；任何人可用「檢舉這張圖」回報，收到檢舉即先下架，我們在 72 小時內回覆審查結果。權利人也可寫信到 support@veritalai.com（同樣 72 小時內回覆）。其他侵權通知請寄同一信箱。

9. 第三方服務

本服務會連接第三方服務，例如 Paddle、模型供應商、學術資料庫與雲端服務。它們各有自己的條款，其中斷或變更不在我們的控制範圍內。

10. 服務變更、暫停與終止

• 我們不保證服務不中斷或沒有錯誤，也可能調整或停止部分功能；重大變更會事先通知。
• 發生重大違約、未付款、安全或詐欺風險，或重複、嚴重違反第 7 條時，我們可以暫停或終止你的帳號。
• 你可以隨時停止使用並取消訂閱。要刪除帳號，請寫信到 support@veritalai.com（App 內自助刪除還沒做好，完成前由我們人工處理）。

11. 免責與責任限制

• 本服務依「現況」提供；在法律允許的範圍內，我們不就特定用途的適用性提供保證。
• 請自行備份重要資料。 本機資料因電腦故障、誤刪等原因遺失，我們無法負責。
• 在法律允許的範圍內，我們的賠償責任以你過去12個月實際支付給我們的金額為上限。法律強制規定的消費者權利不受影響。

12. 準據法與管轄

本條款以中華民國法律為準據法；因本條款發生的爭議，以臺灣臺北地方法院為第一審管轄法院。你所在地法律賦予消費者的強制性權利，優先適用。

13. 條款變更

我們可能修改本條款。重大變更會在生效前至少30天在 App 與網站公告；生效後繼續使用，即表示你同意變更後的條款。

Verital Terms of Service

These terms are a contract between you and Verital, a sole proprietorship ("we", "us"). Verital is a desktop app for academic research, together with the cloud services that support it (the "Service"). When you buy the Service, the payment is handled by Paddle. See section 4.

1. Accepting these terms

By downloading, installing, registering for or using the Service, you agree to these terms, the [Privacy Policy](privacy.en.md) and the [Refund Policy](refund.en.md). If you don't agree, please don't use the Service. You must be at least 13 years old, or old enough to consent on your own where you live.

2. Your account

• Give us a real email address and keep your password (or the third-party login you use) safe. You are responsible for what happens under your account.
• One account can be signed in on up to 5 devices at a time. Remove an old device before adding a sixth.
• Don't resell, lend or share your account.

3. Plans, trial and points

• Local first. Verital runs on your computer. Your papers, notes and manuscripts are stored on your own machine by default.
• A valid plan is required. Editing, using AI, syncing and sharing links all need a valid plan (a trial counts). Without one (your trial or subscription has ended, or you never had a plan), the app switches to read-only mode: you can still open, search, export and delete your own data. Your data is never deleted because a plan ended.
• Licence lease. The app regularly exchanges with us a signed licence lease and keeps using it while offline: up to about 48 hours on a trial and about 7 days on a paid plan.
• Free trial. New customers get one 7-day trial, one per person. A payment method is required at sign-up. On day 8 your chosen plan is charged automatically; cancel before the trial ends and you won't be charged.
• Plans and points. Pro includes 150,000 points a month and Pro+ includes 320,000. Points refresh every month and unused points expire; annual plans still receive points monthly. You can also buy point packs, valid for 365 days from purchase. When you use the official AI, your plan's monthly points are used first, then any packs. Points can only be spent on the official AI and official lookup services. They can't be exchanged for cash or transferred. How an action converts to points is explained in the app. Prices and plan contents are those shown on our Plans page and at checkout.
• Bring your own key (BYOK). You may use your own model API keys. Requests then go straight from your computer to the provider you chose, and cost and terms are between you and that provider. AI features still require a valid plan.

4. Payments: Paddle is the Merchant of Record

Paddle is our reseller and Merchant of Record for all orders. You are buying from Paddle, which collects payment, issues your receipt, collects and remits sales taxes (such as VAT and GST), and handles refunds and payment disputes. Depending on where you live, your contracting Paddle entity is Paddle.com Market Limited, Paddle.com Inc. or Paddle.com (Canada) Ltd. Your card number goes only into Paddle's payment form; we never see it. Paddle's Buyer Terms also apply to your purchase.

• Automatic renewal. Subscriptions renew automatically for the same period. You can cancel any time from "Manage subscription" in the app or from the link in your receipt email. Cancellation takes effect at the end of the current billing period, and you keep access for the period you've paid for.
• Failed payments. Paddle will retry. We give you a 7-day grace period of normal use meanwhile. If payment still fails, the subscription is cancelled and you still owe what's due.
• Price changes. We'll tell you at least 30 days before a price change takes effect, and you can cancel before then if you don't agree.
• Refunds. See the [Refund Policy](refund.en.md).

5. Your content

• Everything you create or import with the Service (papers, notes, manuscripts, figures, slides, recordings and so on) belongs to you. We claim no rights in your content or in the AI output you receive.
• You allow us to process your content only as far as needed to run the Service, for example forwarding your request to a model provider, or holding encrypted review files and sync ciphertext on your behalf. The Privacy Policy has the details.
• You confirm you have the right to use what you import or enter (for example the copyright in a paper's PDF), and you are responsible for your prompts and for how you use the output.

6. AI output and academic integrity

• AI output can be wrong, incomplete, or similar to what others receive. Check it yourself, especially citations, numbers and conclusions. It is not legal, medical, financial or other professional advice.
• The AI-writing indicator, citation checks and rewriting tools are aids only. The indicator is not a Turnitin score and the two cannot be converted into each other. Nothing here guarantees that your text will pass any institution's checks.
• You must follow the academic integrity rules of your school, journal and institution, and you are fully responsible for the work you submit.

7. What you may not do

You may not:

• break the law, commit fraud, send spam, or infringe anyone's intellectual property or other rights;
• use the Service to create or spread non-consensual sexual content or deepfakes, hate or harassment, malware, other people's private information (doxxing), or content meant to deceive people;
• get around a model's safety limits (jailbreaking);
• crack or reverse-engineer the software, or bypass licence, points or device limits;
• probe, scan or interfere with our systems, or make automated bulk requests that burden the Service or third-party databases such as OpenAlex and arXiv.

Encrypted review links and synced content are unreadable to us, so we can't screen them in advance. When we receive a report or find a violation, we may disable the link, remove content we can access, or suspend the account.

8. Intellectual property and the figure gallery

• We or our licensors own the Service and the software; open-source components are under their own licences. We grant you a personal, non-transferable licence to use them.
• Figures in the Verital gallery are handled under the [Figure Gallery Policy](../figure-gallery-policy.md): every figure shows its source and licence, anyone can use "Report this figure", a reported figure is taken down first, and we reply with the outcome within 72 hours. Rights holders can also write to support@veritalai.com (same 72-hour reply). Send other infringement notices to the same address.

9. Third-party services

The Service connects to third parties such as Paddle, model providers, scholarly databases and cloud providers. They have their own terms, and their outages or changes are outside our control.

10. Changes, suspension and termination

• We don't promise the Service will be uninterrupted or error-free. We may change or retire features and will give notice of major changes in advance.
• We may suspend or end your account for material breach, non-payment, security or fraud risk, or repeated or serious violations of section 7.
• You can stop using the Service and cancel your subscription at any time. To delete your account, email support@veritalai.com (in-app self-service deletion isn't built yet, so we handle it by hand for now).

11. Disclaimers and limits of liability

• The Service is provided "as is". To the extent the law allows, we give no warranty that it fits a particular purpose.
• Please back up anything important. We can't be responsible for local data lost to hardware failure, accidental deletion and the like.
• To the extent the law allows, our total liability is limited to what you actually paid us in the past 12 months. Consumer rights that the law makes mandatory are not affected.

12. Governing law and courts

These terms are governed by the laws of the Republic of China (Taiwan), and the Taiwan Taipei District Court is the court of first instance for any dispute arising from them. Mandatory consumer rights under the law where you live take priority.

13. Changes to these terms

We may update these terms. We'll announce major changes in the app and on our website at least 30 days before they take effect. If you keep using the Service afterwards, you accept the updated terms.
